Mr. McKinnon co-founded Okta and has served as our Chief Executive Officer (CEO) and as a member of our board since January 2009. Mr. McKinnon was appointed chairperson of our board in February 2017. From October 2003 to February 2009, Mr. McKinnon served in various roles at Salesforce.com, Inc., a cloud-based customer relationship management company, most recently as Senior Vice President of Development. From 1995 to 2003, Mr. McKinnon held various engineering and leadership positions at Peoplesoft, Inc., an enterprise application software company, which was acquired by Oracle Corporation in January 2005. Mr. McKinnon holds a Master of Science in computer science from California Polytechnic State University, San Luis Obispo and a Bachelor of Science in management and information systems from Brigham Young University.

Mr. Tighe has served as our CFO since January 2022. Prior to his current role, Mr. Tighe served as our interim Chief Financial Officer from June 2021 to January 2022, Senior Vice President of Finance and Treasurer from May 2017 to June 2021, Vice President, FP&A from June 2016 to May 2017 and as head of worldwide FP&A from April 2015 to May 2016. From May 2004 to March 2015, Mr. Tighe served in various finance roles, most recently as Senior Director, Corporate Finance & Strategy, at Salesforce, Inc. Mr. Tighe holds a Master of Business Administration from the University of San Francisco and a Bachelor of Arts from the University of California, Santa Barbara.

Mr. Addison has served as our Chief Revenue Officer since November 2023. Prior to his current role, Mr. Addison served as our Interim Chief Revenue Officer from February 2023 to November 2023 and as our General Manager of EMEA from September 2021 to November 2023. Before joining Okta, Mr. Addison served as Vice President, EMEA & LATAM, Talent Solutions at LinkedIn from September 2019 to October 2021 and as Head of Sales, Talent Solutions, U.K., from October 2016 to September 2019. Earlier in his career, Mr. Addison held various roles at Oracle, Finastra, Opentext, Pitney Bowes and CapGemini. Mr. Addison holds a Bachelor's Degree in Geography and Economics from King's College London.

On August 11, 2025, the Board of Directors of Okta, Inc. appointed David Schellhase as an independent director effective August 13, 2025. David Schellhase has been Entrepreneur-in-Residence at Ballistic Ventures, a venture capital firm dedicated to cybersecurity innovation, since July 2025. From November 2022 to January 2025, Mr. Schellhase was Of Counsel at Sullivan & Cromwell LLP, a global law firm, where he advised on a range of technology-focused corporate legal matters. Mr. Schellhase has served as General Counsel at several publicly-traded companies, most recently at Slack Technologies, Inc., a provider of cloud-based collaboration tools, from December 2016 to August 2021. He served as General Counsel at Groupon, Inc. from June 2011 to January 2014, and at Salesforce, Inc. from July 2002 to May 2011. Mr. Schellhase served as Chief Operating Officer at Honest Work Corporation, a software company, from February 2015 until its acquisition by Twitter, Inc. in April 2016. He has also been an adjunct lecturer in the School of Management Science and Engineering at Stanford University.

On December 18, 2025, the Board of Directors of the company appointed Mr. Robert R. Bernshteyn as independent directors to the Board, effective December 19, 2025. Rob Bernshteyn is a General Partner at ICONIQ Capital, a venture capital firm, which he joined in February 2024. Mr. Bernshteyn has over three decades of experience in the business software industry. From February 2009 to May 2023, Mr. Bernshteyn served as Chief Executive Officer and Chair of the Board of Directors at Coupa Software Inc., a provider of business spend management. From June 2004 to February 2009, he held various roles at SuccessFactors Inc., a cloud-based HCM solution provider, most recently as VP, Global Product Marketing & Management. From June 2001 to May 2004, Mr. Bernshteyn served as Director of Product Management at Siebel Systems, Inc. Mr. Bernshteyn has served on the board of directors of PTC, Inc., a global technology provider of internet of things and augmented reality platforms, since September 2024. Mr. Bernshteyn previously served on the board of directors of Medallia, Inc. from June 2019 to October 2021.

On December 18, 2025, the Board of Directors of the company appointed Mr. Paul Sagan as independent directors to the Board, effective December 19, 2025. Paul Sagan is a Catalyst Advisor at General Catalyst, a global venture capital and private equity firm, where he advises internet software, services and infrastructure companies on strategy and execution. Mr. Sagan joined General Catalyst in 2014 as an Executive in Residence and served as a Managing Director from 2018 to 2020. Previously, Mr. Sagan held various leadership roles at Akamai Technologies, Inc., a publicly-traded cloud computing and cybersecurity company. Akamai's fifteenth employee, Mr. Sagan was Chief Operating Officer from 1998 to 2005 and Chief Executive Officer from 2005 to 2013. He was elected to the board of directors in January 2005 and served as Vice Chairman from 2013 until 2015. Mr. Sagan began his career in broadcast television news. From 1991 and 1996, he was a senior leader at Time Warner, Inc. a former multimedia entertainment company, where he helped establish the first consumer broadband service, one of the first web portals for internet advertising, and a 24-hour cable news service. A seasoned public company director, Mr. Sagan currently serves on the board of Moderna and Thomson Reuters. He was a director of VMWare from 2014 until its acquisition by Broadcom in November 2023, serving as lead independent director from February 2015 to November 2023, and previously was a director of Digitas, Dow Jones, EMC and iRobot.

Mr. Kerrest co-founded Okta and has served as a member of our board since July 2009. Mr. Kerrest is the Managing Partner and Founder of Windproof Partners, an enterprise software growth-stage investment and advisory firm. He was appointed executive vice chairperson of our board in March 2019 and, since November 2023, has served as vice chairperson. From 2009 to November 2023, Mr. Kerrest served as our Chief Operating Officer (COO). From August 2002 to February 2007, Mr. Kerrest served in a variety of sales and business development roles at Salesforce.com, Inc., a cloud-based customer relationship management company. Mr. Kerrest holds a Master in Business Administration from the MIT Sloan School of Management and a Bachelor of Science in computer science from Stanford University.

Mr. Ninan has served as our Chief Accounting Officer since August 2022. Prior to his current role, Mr. Ninan served as Vice President, Chief Accounting Officer at Veritas Technologies LLC, a data management company, from July 2015 to August 2022 and as Chief Accounting Officer at Saba Software, Inc., a cloud-based intelligent talent management solutions company acquired by Cornerstone OnDemand, Inc., from November 2013 to June 2015. Earlier in his career, Mr. Ninan served as a Senior Manager at KPMG US and at Deloitte India. Mr. Ninan holds a Bachelor of Commerce degree from Bangalore University, a Chartered Accountancy from the Institute of Chartered Accountants of India and a Certified Public Accountancy from the American Institute of Certified Public Accountants.

On February 10, 2025, announced that Eric Kelleher, age 53, became the Company's President and Chief Operating Officer (COO) on February 1, 2025. In this position, he will serve as the Company's principal operating officer. Mr. Kelleher previously served as the Company's President, Customer Experience and Communication from February 2024 to January 2025, as Chief Customer Officer from October 2020 to January 2024, as Senior Vice President, Customer First from December 2019 to September 2020, and as Senior Vice President, Global Services from October 2016 to December 2019. Prior to joining the Company, Mr. Kelleher held various leadership roles at SaaS software companies, including at Salesforce.com, Inc., a cloud-based customer relationship management company, and at LinkedIn Corporation, a professional networking site. Mr. Kelleher holds a Master of Science degree in computer science from Stanford University and a Bachelor of Science degree in computer science and economics from Georgetown University.
