Stephen McMillan is the Company's President and Chief Executive Officer and has served in this role since joining the Company in June 2020. Mr. McMillan has served on the Company's Board of Directors since June 2020. Previously, he served as the Executive Vice President of Global Services for F5 Networks, Inc., a transnational company that specializes in application services and application delivery networking, from October 2017 when he joined F5 until May 2020. Prior to joining F5, Mr. McMillan was at Oracle Corporation, a global software and services company (Oracle), for five years where he held roles of increasing executive responsibility, including oversight for customer success and managed cloud services. Public Company Board Experience: Independent Director of Lumen Technologies, Inc. (2025 - Present).

John Ederer is the Company's Chief Financial Officer and has served in this role since joining Teradata in May 2025. Previously, Mr. Ederer served as the Chief Financial Officer for Model N, Inc., a cloud revenue management solutions provider, from January 2021 to May 2025. Prior to that, from August 2018 until November 2020, he served as Chief Financial Officer for K2 Software Inc., a provider of cloud-based and on-premises digital process automation solutions.

Sumeet Arora is the Company's Chief Product Officer and has served in this role since joining Teradata in April 2025. Prior to joining Teradata, Mr. Arora served as Chief Development Officer at ThoughtSpot, Inc., a technology company that produces business intelligence analytics search software, from 2019 until April 2025. From 2017 until 2019, he was Senior Vice President and General Manager of Service Provider Networking at Cisco Systems, Inc.

Richard Petley is the Company's Chief Revenue Officer and has served in this role since April 2024. Previously, Mr. Petley served as Teradata's Executive Vice President, Global Sales, from April 2022, when he joined the Company, until April 2024. He served as General Manager, Western Europe, for Oracle Cloud, at Oracle, from 2021 until April 2022. From 2018 until 2021, he was the Managing Director, Oracle UK.

Scot Rogers is the Company's Chief Administrative Officer and Corporate Secretary and has served in this role since joining Teradata in June 2025. Previously, from January 2014 until May 2025, he served as the Executive Vice President, General Counsel, Secretary and Chief Compliance Officer for F5 Networks, Inc., a transnational company that specializes in application services and application delivery networking. From 2005 until 2013, he held various senior legal roles at F5.

Effective May 12, 2025, Charles Smotherman, interim Chief Financial Officer, returned to his previous role with the Company as Senior Vice President and Chief Accounting Officer. On February 10, 2025, the Board elected Charles Smotherman, the Company's Senior Vice President, Chief Accounting Officer, as the Company's interim Chief Financial Officer, effective as of March 24, 2025. Mr. Smotherman will also serve, on an interim basis, as the Company's principal financial officer and principal accounting officer beginning on the Appointment Effective Date. Mr. Smotherman, age 59, has served in various leadership roles in the Company's finance department, most recently as Senior Vice President, Chief Accounting Officer, a position he has held since 2019. Mr. Smotherman has over 25 years of accounting and finance leadership experience. He joined the Company in 2009 as Assistant Controller and was promoted to Corporate Controller in 2010, a position he held until 2019. Mr. Smotherman is a certified public accountant and holds a B.S. in Accounting from Auburn University.

Mr. Gianoni, Non-Executive Chairman of the Board. Professional Experience: President and Chief Executive Officer of Blackbaud, a provider of cloud-based software and services specifically designed for nonprofit, education, and company organizations (2014 - Present); Vice Chairman (since 2024); Executive Vice President and President of Financial Institutions at Fiserv, a global technology provider serving the financial services industry (2010 - 2013); President of Investment Services at Fiserv (2007 - 2010); Executive Vice President and General Manager of CheckFree Corporation, a leading provider of financial e-commerce solutions (2006 - 2007); Various senior positions at DST Systems Inc., a global provider of technology-based services solutions (1994 - 2005). Public Company Board Experience: President and Chief Executive Officer and Director of Blackbaud (2014 - Present); Vice Chairman (since 2024). (1997 - 2000). Public Company Board Experience: Independent Director of Calyxt, Inc. (2019 - 2023); Independent Director of Qumu Corporation (2012 - 2019). Education: M.B.A., University of St. Thomas; B.S. in Finance, Babson College.

Ms. Olsen, Independent Director. Professional Experience: Executive Vice President of Cloud Services and Support at Oracle Corporation, a global software and services company (2016 - 2017); Senior Vice President and Leader of Oracle's applications sales, alliances and consulting organizations in North America (2010 - 2016); Various executive management positions across sales, global financing and hardware during her over 30 year career at at IBM Corporation. Public Company Board Experience: Independent Director of Keysight Technologies (2019 - Present); Independent Director of Ciena Corporation (2018 - Present). Education: B.A. in Mathematics, Economics and Accounting, East Stroudsburg University.

Mr. McElhatton, Independent Director. Professional Experience: Chief Operating and Financial Officer at Zuora, a cloud-based subscription management software company (2025 - Present); Chief Financial Officer at Zuora, a cloud-based subscription management software company (2020 - 2025); Senior Vice President and Chief Financial Officer of the Cloud Business Group at SAP, a multinational software company (2018 - 2020); Senior Vice President and Chief Financial Officer of SAP North America (2017 - 2018); Vice President and Chief Financial Officer of Hybrid Cloud Business at VMware, a virtualization and cloud infrastructure solutions company (2014 - 2017); Various senior positions at Oracle Corporation and Hewlett Packard. Education: M.B.A., University of Tennessee; B.A. in Business Administration, Southern Methodist University.

On February 27, 2026, the Board of Directors of Teradata approved the following, effective March 1, 2026 the size of the Board will expand from nine to ten directors and Class I of the Board will expand from three to four directors, Ms. Fisher is elected as a Class I director with a term expiring at the 2026 Annual Meeting, and Ms. Fisher is appointed to serve as a member of both the Audit Committee and the Nominating and Governance Committee of the Board and has been designated as an Audit Committee Financial Expert.

Michael Hutchinson is the Company's Chief Operating Officer and has served in this role since February 2025. Previously, from January 2022 until February 2025, he served as Chief Customer Officer. From June 2021, when he joined the Company until January 2022, he served as Senior Vice President World-Wide Customer Success, Consulting and Renewals. Prior to joining Teradata, Mr. Hutchinson served as the Senior Vice President and Chief Customer Officer at Verint Systems Inc., a customer engagement solutions provider, from August 2020 to May 2021 and as its Senior Vice President, Global Professional Services and Support from April 2018 until August 2020. From 1990-2018, he held several positions with Oracle, most recently as the Group Vice President, North America Customer Success from December 2015 to March 2018.
