Patrick Dury has served as Chief Financial Officer of the Company since July 2025. He has also served as Chief Financial Officer of Bain Capital Special Situations since 2015, where he is responsible for overseeing financial operations and reporting. In 2018, Mr. Dury also served as Interim Chief Financial Officer of Bain Capital Specialty Finance, Inc. Prior to joining Bain Capital, he was a Senior Manager in the Asset Management practice at PricewaterhouseCoopers, specializing in alternative investment products. Mr. Dury received a BA from the College of the Holy Cross.

Angelo Rufino has served as Chief Executive Officer and member of the Board since March 2025. Mr. Rufino joined Bain Capital, LP in 2024 and is a Partner, Head of Special Situations in North America and Corporate Special Situations in Europe, leading investments across corporate, real estate, structured solutions, hard assets, and opportunistic strategies. Prior to Bain Capital, Mr. Rufino was a Managing Partner at Brookfield Asset Management (2014-2024), where he held senior leadership roles across private equity and credit, including serving as Global Head and Chief Investment Officer of Brookfield Special Investments. He also oversaw the firm's music royalties business, homebuilder finance strategy, and was a key investor in its insurance business. Earlier in his career, Mr. Rufino helped establish Brigade Capital's distressed credit and special situations group, worked in investment banking at J.P. Morgan, and began his career as an Examiner at the U.S. Securities and Exchange Commission. He currently serves on the boards of IMS Nanofabrication, MRO Holdings, Griffin Global Asset Management, Beethoven Holdings (Warner Music JV), and the Resolution Project. Mr. Rufino holds an MBA from Columbia Business School and a BA from Skidmore College.

Jeffrey Chung has served as Chief Operating Officer since March 2025. Mr. Chung joined Bain Capital, LP in 2007 and is a Partner and the Global COO of the Special Situations business, where he is responsible for operational delivery, P&L oversight, scalability of systems and processes, and risk management. He previously led asset management for Bain Capital Special Situations in North America as well as the portfolio management function for the GSS funds. He was also a founding member of Bain Capital's Australian office, where he led special situations investments in the region. Earlier in his career, Mr. Chung was a sector head within Bain Capital Credit, overseeing investments in the TMT, industrials, and consumer sectors. He currently serves on the board of Cuisine Solutions. He received a B.S., summa cum laude, from The Wharton School at the University of Pennsylvania.

Michael E. Purves has served as a member of the Board since December 2025. He is the Chief Executive Officer of Tallbacken Capital Advisors, LLC, which he has managed and operated since 2019. Mr. Purves has over 27 years of financial services experience and spent the first 12 years of his career in investment banking. Mr. Purves received a BA from Columbia University and an MBA from the Wharton School of the University of Pennsylvania.

David J. Greenwald has served as a member of the Board since August 2025. He is chairman emeritus of Fried, Frank, Harris, Shriver & Jacobson LLP, where he served as chairman from 2014 to 2024, following nearly two decades at Goldman Sachs, where he was International General Counsel and a Deputy General Counsel. Mr. Greenwald received a BS, summa cum laude, from The Wharton School at the University of Pennsylvania, and a JD from Columbia Law School.

Barnaby Lyons has served as Chairman of the Board since July 2025. Mr. Lyons joined Bain Capital, LP in 2006 and is a Partner and the Global Head of Special Situations. Over nearly two decades, he has played a central role in building Bain Capital Special Situations into a global, multi-asset-class investing platform, leading transactions across corporate restructurings, real estate platforms, large-scale structured financings, and hard assets. Under his leadership, the business has launched and expanded its global flagship fund (GSS) as well as regional funds in Asia (SSA) and Europe (SSE), deploying more than $17 billion of capital since inception and establishing Bain Capital as one of the largest special situations investors worldwide. Mr. Lyons has overseen the platform's growth across North America, Europe, and Asia, and has been instrumental in shaping Bain Capital's through-the-cycle investment strategy. He currently serves as a director of Chindata Group and the India Resurgence Fund (India RF) and recently completed a successful tenure on the board of Virgin Australia. Prior to joining Bain Capital, he was a consultant with Bain & Company. Mr. Lyons holds an A.B., Phi Beta Kappa, from Princeton University.

On February 11, 2026, the board of directors of Bain Capital GSS Investment Corp. appointed Ruchit Shah to the Board to serve as an independent director of the Board, effective immediately. Mr. Shah, 42, is the Chief Executive Officer and Chief Investment Officer of Council Oaks Partners, a boutique investment firm that focuses on private equity and special situations investing. Prior to launching Council Oaks Partners, Mr. Shah was a Senior Managing Director for M-Cor Capital. Prior to M-Cor, Mr. Shah was Chief Investment Officer for Texas Treasury Safekeeping Trust Company, where he managed approximately $90 billion across multiple pools of capital. Mr. Shah began his career as a Litigator with Baker Botts LLP. Mr. Shah holds a J.D., with Honors from the University of Texas School of Law and a B.A. from the University of Texas at Austin.
