Angelo Rufino has served as Chief Executive Officer and member of the Board since March 2025. He currently serves on the boards of IMS Nanofabrication, MRO Holdings, Griffin Global Asset Management, Beethoven Holdings (Warner Music JV), and the Resolution Project. Mr. Rufino holds an MBA from Columbia Business School and a BA from Skidmore College.

Jeffrey Chung has served as Chief Operating Officer since March 2025. Over nearly two decades, he has played a central role in building Bain Capital Special Situations into a global, multi-asset-class investing platform, leading transactions across corporate restructurings, real estate platforms, large-scale structured financings, and hard assets. Under his leadership, the business has launched and expanded its global flagship fund (GSS) as well as regional funds in Asia (SSA) and Europe (SSE), deploying more than $17 billion of capital since inception and establishing Bain Capital as one of the largest special situations investors worldwide. Mr. Lyons has overseen the platform's growth across North America, Europe, and Asia, and has been instrumental in shaping Bain Capital's through-the-cycle investment strategy. He currently serves as a director of Chindata Group and the India Resurgence Fund (India RF) and recently completed a successful tenure on the board of Virgin Australia. Prior to joining Bain Capital, he was a consultant with Bain & Company. Mr. Lyons holds an A.B., Phi Beta Kappa, from Princeton University.

Ruchit Shah Independent Director

On February 11, 2026, the board of directors of Bain Capital GSS Investment Corp. appointed Ruchit Shah to the Board to serve as an independent director of the Board, effective immediately. Mr. Shah, 42, is the Chief Executive Officer and Chief Investment Officer of Council Oaks Partners, a boutique investment firm that focuses on private equity and special situations investing. Prior to launching Council Oaks Partners, Mr. Shah was a Senior Managing Director for M-Cor Capital. Prior to M-Cor, Mr. Shah was Chief Investment Officer for Texas Treasury Safekeeping Trust Company, where he managed approximately $90 billion across multiple pools of capital. Mr. Shah began his career as a Litigator with Baker Botts LLP. Mr. Shah holds a J.D., with Honors from the University of Texas School of Law and a B.A. from the University of Texas at Austin.
