Mr. Fernando Fernandez appointed as the Director and Chief Financial Officer is effective from 1 January 2024. Fernando, currently President of Unilever's Beauty & Wellbeing Business Group, will replace Graeme Pitkethly, who announced his decision to retire from the company earlier this year. Prior to his current role running one of Unilever's fastest growing Business Groups, Fernando was responsible for Unilever's business in Latin America. This followed a successful period leading Unilever Brazil between 2011 and 2019. Earlier in his career, he led Unilever Philippines and, before that, Unilever's Global Hair Care category. Fernando will receive annual fixed pay of €1.175mm, be eligible to receive annual bonus and Performance Share Plan awards, and relocation support, all in line with Unilever's existing remuneration policy. His target total compensation puts him around median of our pay benchmarking group. Srinivas Phatak has been appointed as Chief Financial Officer and Executive Director of Unilever PLC with effect from 16 September 2025. Srinivas is currently Independent Non-Executive Director on the board of Coats Group plc.

Ian Meakins, non-executive director, will be appointed as non-executive chairman with effect from 01 December 2023 Ian Meakins has been appointed to the board as non-executive director with effect from 01st September 2023. Ian is currently Chair of Compass Group PLC and Rexel SA, and has significant global business experience across a diverse range of industries. He served as Chief Executive of Wolseley plc (now Ferguson plc) from 2009 to 2016, Chief Executive of Travelex Holdings Ltd from 2007 to 2009 and as Chief Executive of Alliance Unichem plc from 2004, until its merger with Boots in 2006. Previously he held positions at Diageo, Bain & Company, and Procter & Gamble.

Previous experience: BHP plc (NED); L’Occitane International (NED); Keurig Green Mountain (NED); Coca-Cola HBC AG (NED); Goldman Sachs International (NED); Shire plc (Chair); Mergers and Acquisitions, EMEA – Credit Suisse (Chair). Susan Kilsby, non-executive director and Vice Chair and Senior Independent Director of the Company, will serve as Executive Chair of Fortune Brands Innovations from 12 February 2026 and take on the duties of the office of the Chief Executive Officer during a transition period from 1 April 2026 until 13 May 2026. Susan has been a non-executive director of Fortune Brands Innovations since 2015 and was appointed its Chair in 2021 and will return to this role following the transition period.

Judith McKenna has been appointed as an independent Non-Executive Director with effect from 1 March 2024. Judith has deep and extensive experience of the consumer goods and retail sector, having spent 27 years of her career at Walmart. She most recently served as President and CEO of Walmart International from 2018-2023, where she was responsible for all aspects of Walmart's footprint outside the U.S. Prior to leading Wal-Mart International, Judith served as Executive Vice President and Chief Operating Officer for Wal-Mart U.S. and was the Chief Financial Officer for the supermarket chain Asda, in the UK, for more than a decade. Judith McKenna, non-executive director of the Company, has been appointed as a director of Delta Air Lines, Inc., with effect from 7th February 2025.

Benoit Potier has been appointed to the board as non-executive director with effect from 01st January 2025. Benoît brings a wealth of experience across the industrials and consumer goods sectors, having held executive and non-executive positions at a number of major global businesses. He served as Chief Executive Officer of Air Liquide, a multinational industrials company headquartered in Paris from 2001 to 2022, and he was appointed as Chairman of the Board in 2006, a position he continues to hold. He currently also serves as a Non-Executive Director on the Siemens AG Supervisory Board. Previously he was a Non-Executive Director at Danone from 2003 to 2021, and a Non-Executive Director on the Supervisory Board of Michelin from 2003 to 2013.

Nelson Peltz will be appointed to the board as non-executive director with effect from 20 July 2022. Nelson Peltz is Chief Executive Officer and a Founding Partner of Trian Fund Management, L.P. ("Trian"), an investment management firm. He has previously served on the Boards of several major global consumer goods companies, including The Procter & Gamble Company, H.J. Heinz Company and Mondelez International.

Zoe Yujnovich will be appointed to the board as non-executive director with effect from 01 March 2025. Zoe is Shell's Integrated Gas and Upstream Director and has held various senior management positions across Shell since joining in 2014. Prior to joining Shell, Zoe spent almost two decades in Rio Tinto, including as President and CEO of the Iron Ore Company of Canada. Zoe brings deep experience of fast paced transformations at scale across global businesses. She has an extensive network and experience in engaging with governments, regulators and civil society stakeholders across the world. Zoe Yujnovich will join the board of National Grid plc as Chief Executive Designate on 1 September 2025 and will be appointed Chief Executive on 17 November 2025.

Prakash Kakkad was appointed as Chief Legal Officer & Group Company Secretary with effect from 01st March 2026.
